Terms and Conditions

For the purposes of these Terms, unless the context otherwise requires:

1. "Account" means the registered user account created to access and use the Services.
2. "Credits" means the prepaid units purchased or otherwise allocated to your Account that may be consumed for the use of specified features or Services on the Platform.
3. "Customer Data" means any data, content, text, prompts, instructions, URLs, website materials, credentials, metadata, analytics information, files, or other materials submitted, uploaded, connected, transmitted, or otherwise made available by you or on your behalf through the Platform.
4. "Input" means any prompt, instruction, data, content, or material provided by you to the Platform for processing.
5. "Output" means any content, recommendation, report, metadata, draft, analysis, score, alert, summary, code, or other result generated or returned by the Platform or through the use of artificial intelligence or automated systems.
6. "Third-Party Services" means third-party platforms, software, APIs, plugins, payment processors, hosting providers, content management systems, model providers, analytics tools, or other services that may interoperate or integrate with the Platform.

Raechal.ai is an AI-powered SEO operations platform designed to provide website audits, AI visibility analysis, keyword insights, SEO health scoring and recommendations, SEO workflow support, Chatbot-based SEO assistance and automation support for CMS platforms like WordPress. It combines data analysis, AI-driven insights, and workflow management to help teams understand and improve their search performance. By integrating traditional SEO metrics with AI visibility tracking and contextual guidance, the platform provides a comprehensive environment for monitoring, diagnosing, and optimizing search performance across modern search ecosystems.

Certain features may be offered on a free, trial, beta, promotional, or paid basis and may differ depending on the pricing plan or credits available in your Account. We reserve the right to add, modify, suspend, limit, or discontinue any feature, functionality, or part of the Services at any time, with or without notice, subject to applicable law.

Certain automation or implementation features may require separate activation, installation, credentials, permissions, plugin access, API access, or user approval. The scope and behaviour of such features may vary depending on the applicable integration, technical environment, flexible plans, or feature settings

i. Eligibility

You may use the Services only if you are at least eighteen (18) years of age, are competent to contract under applicable law and are not otherwise prohibited from using the Services under any applicable law, regulation, sanction, order, or contractual restriction.

By using or registering for the Service, you represent:

• You have full right, power and authority to enter into and perform your obligations under these Terms;
• You are under no legal disability or contractual restriction that prevents you from entering into this Agreement;
• Your registration and use of the Service is in compliance with all applicable local, state, national, and international laws, rules and regulations;
• If you use the Services on behalf of an entity, you are duly authorised to bind such entity to these Terms; and
• You own or have all necessary rights, licences, consents, permissions, and authorisations to connect, access, scan, analyse, process, and where applicable, modify any website, domain, CMS, plugin, analytics property or third-party account submitted to or connected with the Platform.

ii. Account Registration

• To access the service of the Platform you must register for an account by clicking on "Get Started" and providing accurate, complete, and current information including your name, e-mail address, and any other information required during the registration process. The registration of the account and features unlocked will be based on the flexible plan you opted.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities carried out through your Account. If you have reason to believe that your account is no longer secure (e.g., in the event of a loss, theft or unauthorized disclosure or use of your account ID, password, or any credit or debit card number, if applicable), then you agree to immediately notify us.
• You agree that the information you provide to us, whether on registration or at any other time is kept accurate and up-to-date at all times.
• You may control your user profile and how you interact with the Service by changing the settings in your account.
• You are responsible for maintaining your own backups, version controls, and change-management safeguards for any connected website, CMS, or content environment before enabling any automation, publishing, or implementation feature offered through the Platform.
• By providing your email address, you consent to receive service-related and transactional communications from us electronically, including account notifications, security alerts, updates relating to your use of the Services, and other notices required by applicable law. We may also send you promotional and marketing communications, such as information about new features, offers, or updates. You may opt out of receiving promotional communications at any time by using the unsubscribe option included in such communications or by contacting us, but you will continue to receive essential service-related and legal notices necessary for your account and use of the Services.
• The usernames provided must not be offered for sale, sold, bought, solicited, or inactively held for future use. Inactive accounts may be renamed at any time without notification.

iii. Payment and Credits

The Platform operates primarily on a prepaid credit-based model unless expressly stated otherwise on the Platform. You may purchase Credits by making a one-time payment under the flexible plans displayed on the Raechal.ai Platform.

Upon successful payment, a fixed number of credits will be allocated to the user's account based on the selected plan. These credits may be used to access and utilize the services and features offered on the Platform. Each service or feature may require deduction of a specified number of credits and continued use of the Platform is subject to the availability of sufficient credits. Unless expressly stated otherwise on the Platform: (a) Credits are non-transferable, non-exchangeable, and non-redeemable for cash; (b) Credits have no stored monetary value outside the Platform; and (c) promotional, complimentary, trial or bonus Credits may be subject to separate conditions, limitations, or expiry periods.

The Platform does not offer any automatic renewals, recurring billing, or subscription-based services. There is no monthly billing cycle, and credits do not automatically reset or replenish over time unless otherwise stated on the platform. Once the credits in user's account are exhausted, user may choose to purchase additional credits to continue using the Platform.

Without limiting the foregoing, no refund shall be provided for partially used Credits, unused promotional Credits, user error, change of business strategy, dissatisfaction with subjective output quality, or failure to use the Services during the validity period of the purchased Credits. The Platform reserves the right to modify pricing, credit allocation, or available plans at its discretion, without affecting credits already purchased.

In the event of chargebacks, payment reversals, suspected fraud, abuse, or unauthorised payment activity, we may suspend or terminate your Account, reverse the relevant Credits, and pursue all lawful remedies available to us.

iv. Third Party Services and Integrations

Our Services may include or rely on services provided by third parties (the "Third-Party Services"), including payment processing providers that enable you to make payments on the platform. These Third-Party Services are not owned or controlled by us and your use of such services may be subject to the terms and privacy policies of those third parties.

When you make a payment through our platform, your payment details are processed directly by our third-party payment partners. We do not store or control your complete financial information, and we are not responsible for any errors, delays, security breaches, or other issues arising from such third-party payment services. Such third-party service providers may also place their own cookies on your device. These are governed by their respective privacy and cookie policies, which we encourage you to read independently.

We do not warrant, endorse, or assume responsibility for any Third-Party Services, including their accuracy, security, legality, availability, or performance. We shall not be liable for any loss, interruption, delay, data issue, error, incompatibility, or damage arising from or relating to any interaction, transaction or dispute between you and such third parties.

By using our Services, you acknowledge and agree that we may integrate, modify, or discontinue the use of any Third-Party Services at our discretion without prior notice. Your continued use of the platform constitutes acceptance of any such integrations or changes.

You retain ownership of your Customer Data, subject to the rights granted to us under these Terms and our Privacy Policy.

You represent, warrant, and undertake that your Customer Data and use of the Services: (a) do not infringe, misappropriate, or violate any third-party intellectual property, privacy, confidentiality, publicity, contractual, or other rights; (b) do not contain unlawful, defamatory, fraudulent, deceptive, obscene, or harmful content; (c) do not include malicious code, malware, or harmful scripts; and (d) have been collected, submitted and shared with the Platform with all necessary notices, permissions and free consent.

Certain features of the Services may require verified access to Google Search Console, Google APIs, analytics tools, webmaster tools, content management systems, or other third-party platforms and services. You are solely responsible for obtaining and maintaining all required permissions, credentials, consents, and account access necessary for the proper functioning of such features.

The accuracy, completeness, timeliness, and availability of certain features and outputs may depend on the availability, permissions, policies, rate limits, configurations, and technical performance of third-party platforms, including Google systems and APIs. The Platform does not control, and is not responsible for, the availability, accuracy, outages, delays, suspensions, restrictions, deprecations, policy changes, or other acts or omissions of any third-party platform or service.

If any third-party integration becomes unavailable, limited, delayed, or inaccurate for any reason, the Company shall not be liable for any resulting interruption, reduction in functionality, data discrepancy, reporting gap, or loss arising therefrom. Your use of any third-party platform in connection with the Services remains subject to the applicable third-party terms and policies.

The Platform uses artificial intelligence, automated systems, algorithms, or machine-learning-enabled processes to generate, prioritise, score, draft, transform, recommend, or otherwise return outputs. Such outputs may be inaccurate, incomplete, biased, non-unique, or unsuitable for your specific business, legal, regulatory, editorial, or technical context. You must independently review, validate, and approve all outputs before relying on them, publishing them, implementing them, or using them in any live environment.

You acknowledge and agree that the platform does not guarantee that any Output will be original, error-free, search-engine compliant, platform-compliant, legally compliant, brand-safe, or fit for any particular purpose. The Platform does not provide legal, tax, accounting, or professional advice through the Services.

You further acknowledge that any automation or implementation feature may alter website content, metadata, structure, schema, internal links, headings, copy, tags, or other digital assets, and you assume full responsibility for enabling, approving, monitoring, testing, and validating any such changes.

The Platform does not warrant or guarantee any specific outcome from the use of the Services, including any increase in rankings, traffic, indexing, citations, conversions, revenue, leads, discoverability or visibility across search engines, answer engines, marketplaces, or other digital platforms.

Search and visibility outcomes depend on numerous variables beyond our control, including third-party algorithms, market conditions, website quality, hosting conditions, competitive landscape, technical architecture, user implementation choices and the actions or policies of search engines and AI platforms.

You agree not to:

1. Use the Service for any unlawful, harmful, or fraudulent purposes;
2. Reverse engineer, decompile, disassemble, or attempt to derive the source code of any component of the Service;
3. Interfere with, disrupt, or compromise the security or integrity of the Service;
4. Upload or transmit content that is deceptive, infringing, libellous, or otherwise unlawful;
5. Misuse AI-generated content for unethical or deceptive purposes;
6. Create multiple accounts for credit farming;
7. Register multiple domains from the same IP;
8. Reproduce, resell, sublicense, rent, lease, timeshare, or otherwise commercially exploit the Services except as expressly permitted by us in writing;
9. Use another user's account without permission; or
10. Bypass, disable, or manipulate any usage controls, credit mechanisms, or technical limitations imposed by the Platform.

We may monitor usage for security, abuse-prevention, product integrity, and compliance purposes subject to applicable law and our Privacy Policy. Violation of this section may result in immediate suspension or termination of your account, without prejudice to any other legal remedies available to the Platform.

You may only add, connect, verify, monitor, or otherwise use through the Platform any domain, subdomain, website, or web property that you own, control, or are expressly authorised in writing to manage. You are solely responsible for ensuring that your use of the Platform in relation to any domain, website, or connected property does not infringe the rights of any third party or violate any contractual, legal, or regulatory obligation. The Company may, at its sole discretion, request reasonable proof of ownership or authority and may suspend, restrict, or terminate access where it reasonably believes that a domain or property has been connected without proper authorisation. No refund or credit shall be due in respect of such suspension, restriction or termination.

A primary domain associated with an account may be subject to administrative controls, verification requirements, and technical limitations. Once a primary domain is registered, it is permanently locked, non-transferable and cannot be changed under any circumstances.

All rights, title and interest in our platform, including all software, technology, source code, object code, interfaces, workflows, databases, designs, text, graphics, trademarks, service marks, logos, contents, documentation, reports, models and all other underlying intellectual property are and shall remain the exclusive property of the Company and/or its licensors.

Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services during the term of these Terms solely for your internal business purposes. You shall not copy, sell, license, modify, distribute, reverse engineer, or try to extract how our AI works. You also cannot use our platform or its outputs to build or train a competing product or similar AI system.

You will continue to own any data, text, prompts, or content that you input into the platform. However, by using the Services, you allow us to use this information (in a secure and aggregated way) to improve the Platform's functionality. If you provide suggestions, ideas, enhancement requests, feedback, or recommendations relating to the Platform or the Services, you agree that we may use and exploit the same without restriction or obligation to compensate you.

You may stop using the Services at any time. We may suspend, restrict or terminate your access to the Services, in whole or in part, immediately or at any time, with or without notice, if we reasonably determine that:

1. You breached the Terms and/or our Privacy Policy;
2. Your use of the Services creates security, legal, technical, or reputational risk to the Company, the Platform, or any third party;
3. You have engaged in fraud, misuse, or abuse;
4. Your payment remains overdue or has been reversed; or
5. We are required to do so by law or a competent authority.

We may also suspend the Services temporarily for maintenance, upgrades, emergency fixes, infrastructure issues, security events or reasons outside our reasonable control (hereinafter referred to as the "maintenance"). Where reasonably practicable, we will provide prior notice of planned maintenance and will use commercially reasonable efforts to minimise disruption and restore the Services as soon as reasonably possible. In the event of any such temporary suspension due to maintenance materially affecting a paid plan, we may, where appropriate, extend the applicable plan period by a duration reasonably corresponding to the period of such disruption. However, we shall not be liable for any loss, delay, or interruption resulting from such temporary suspension.

Upon termination or suspension: (a) your right to use the Services shall cease to the extent specified by us; (b) any unused promotional or complimentary Credits may be forfeited; (c) purchased Credits shall be treated in accordance with the terms; and (d) provisions which by their nature should survive shall continue in full force, including provisions relating to intellectual property, disclaimers, indemnities, liability, dispute resolution, and accrued payment obligations.

If in case, we may decide to discontinue our Services, we will give you advance notice and a refund for any prepaid, unused Services.

The Services are provided on an "as is", "as available", and "as updated from time to time" basis. To the fullest extent permitted by applicable law, the Company disclaims all representations and warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, compatibility, security, performance or uninterrupted operation.

Without limiting the foregoing, we do not warrant that the Services will be uninterrupted, error-free, secure, compatible with any particular website, theme, plugin, browser, device, or third-party service or that any defects will be corrected within any specified timeline.

To the fullest extent permitted by applicable law, in no event shall the Company, its affiliates, Platform , licensors, service providers, officers, directors, employees, agents, or representatives be liable for any indirect, incidental, consequential, special, exemplary, punitive, or aggravated damages or for any loss of profits, revenue, goodwill, data, business opportunity, savings, ranking, traffic, reputation, or business interruption, arising out of or in connection with these Terms or the use of or inability to use the Services, even if advised of the possibility of such damages.

The aggregate liability of the Company arising out of or relating to the Services or these Terms shall not exceed the total fees paid by you to the Company while purchasing the plan for the Services during the last 30 days immediately preceding the event giving rise to the relevant claim. If you are using a free plan or have not paid any fees to the Company, the Company's aggregate liability shall not exceed INR 0/-.

You agree to defend, indemnify, and hold harmless the Company, its affiliates, Platform and their respective officers, directors, employees, consultants, contractors, agents, licensors, successors, and assigns from and against any and all claims, actions, demands, proceedings, liabilities, losses, damages, judgments, settlements, penalties, costs, and legal expenses arising out of or relating to: (a) your use of our Services; (b) your Customer Data, Inputs, or Outputs as used or implemented by you; (c) your breach of the our Terms or any third-party from which the company is availing services; (d) your violation of any law or third-party right; or (e) your negligence, misconduct, or unauthorised use of any website, domain, CMS, analytics property, or third-party integration.

Your privacy is important to us. Our collection, use, storage, disclosure, transfer, and processing of personal data and related information in connection with the Services shall be governed by our Privacy Policy, as updated from time to time. By using the Services, you acknowledge that you have read and understood the Privacy Policy.

Use of our services shall be governed by and interpreted in accordance with the laws of India. Users agree that any disputes or legal proceedings arising out of or in connection with such use shall be subject to the exclusive jurisdiction of the competent courts and tribunals in the state of Haryana, India, to which they irrevocably submit.

The Parties shall endeavour to settle such dispute amicably through good-faith discussions within thirty (30) days from the date on which one party notifies the other party of the dispute in writing. If the dispute is not resolved then such dispute shall be referred to arbitration in India in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a by a sole arbitrator mutually appointed by the parties. If the parties fail to mutually appoint the sole arbitrator within thirty (30) days, the arbitrator shall be appointed in accordance with applicable law.

The seat and venue of arbitration shall be Gurugram, Haryana, India. All arbitration proceedings shall be conducted in the English language. The Arbitrator shall decide any such dispute or claim and such arbitral award and the award of such Arbitrator shall be final and binding on all parties concerned. During arbitration and prior to an award being granted, the parties shall continue to perform those obligations under the Terms not in dispute.

We reserve the right, at our sole discretion, to change, modify, add or remove portions of the Terms at any time. Please check the Terms and Conditions periodically for changes. Your continued use of the Service after the posting of changes constitutes your binding acceptance of such changes. For any material changes to the Terms, we will make reasonable effort to provide notice to you of such amended Terms, such as by an email notification to your registered email address with us or by posting a notice on the Service or otherwise in accordance with the terms hereof you, and such amended terms will be effective immediately against you.
